Introduction Welcome to Wapizo, a comprehensive WhatsApp API business platform designed for bulk messaging, campaign management, AI-powered chatbots, CRM integration, and automation tools. By accessing or using Wapizo’s website, software, or services (“Services”), you agree to comply with these Terms and Conditions (“Terms”). Please read them carefully before using our platform. If you do not agree with these Terms, you should discontinue using our services immediately. 2. Definitions “Wapizo,” “we,” “our,” “us” refers to the company operating the Wapizo platform and its affiliated services. “User,” “you,” “your” refers to any individual or entity using Wapizo’s services. “Platform” refers to Wapizo’s web and software-based applications, including dashboards, APIs, and chatbot systems. “Account” means a registered user account created to access Wapizo services. 3. Eligibility By using our platform, you represent that you: Are at least 18 years old and have the legal authority to enter into this agreement. Will use the platform in compliance with all applicable laws, regulations, and WhatsApp Business API policies. Are not using Wapizo for spam, fraudulent activities, or any purpose that violates Meta’s (WhatsApp) terms. 4. Use of Services 4.1 Bulk Messaging Wapizo allows users to send thousands of targeted WhatsApp messages (promotions, alerts, or updates) via connected WhatsApp Business Numbers. You agree to: Use bulk messaging responsibly and only for legitimate business communication. Avoid unsolicited messaging or spam content. Respect WhatsApp’s fair usage and anti-spam policies. 4.2 Campaign Management You can create, schedule, and monitor campaigns using the campaign dashboard. Campaign results depend on delivery rates and third-party API performance. Wapizo is not liable for undelivered messages caused by Meta or carrier issues. 4.3 Template Management You can create, manage, and submit templates directly from the platform without visiting Meta’s portal. Template approvals are subject to WhatsApp Business verification. 4.4 Multi-Number & Contact Management Wapizo allows multiple WhatsApp numbers under one account. You are responsible for managing your contact data and ensuring compliance with data protection laws such as GDPR and India’s DPDP Act. 5. Automation, AI & Chatbot Services 5.1 AI-Powered Chatbots Our AI bots can handle automated replies, FAQs, and lead collection. You agree not to use bots for: Misleading users or impersonating individuals. Distributing harmful, illegal, or sensitive data. 5.2 Bot Flows & Scheduling You may design visual bot flows and set timing restrictions. You are responsible for ensuring that automated messages comply with WhatsApp’s 24-hour session window and related messaging rules. 5.3 Third-Party AI Integration Wapizo integrates with external AI tools (like Flowise AI). Any data processed through third-party systems follows their privacy and compliance policies. 6. CRM, Team & Integration Features 6.1 Integrated CRM Wapizo provides a CRM module for managing customer conversations and segmenting audiences. We are not responsible for data loss caused by user-side errors or unauthorized access. 6.2 APIs & Webhooks You can integrate Wapizo APIs with third-party systems. You agree not to misuse APIs or perform reverse engineering. API usage must comply with the rate limits and authentication requirements. 6.3 Team & Agent Management Multi-user support allows assigning roles to multiple team members. The account owner is fully responsible for actions taken by all sub-users. 7. SaaS & Subscription Services 7.1 Subscription and Billing Wapizo operates on a subscription-based model. Payments can be made using Stripe, Razorpay, or other integrated gateways. All fees are non-refundable unless otherwise stated in our Refund & Cancellation Policy. 7.2 Account Suspension We reserve the right to suspend or terminate accounts for: Payment failures or chargebacks. Violation of WhatsApp, Meta, or Wapizo policies. Misuse of bulk messaging or unauthorized API usage. 7.3 SaaS White-Label & Customization For SaaS clients, customization of branding and color schemes is permitted. However, redistribution or resale of the core platform without authorization is strictly prohibited. 8. Security & Compliance Wapizo uses encrypted connections (SSL/TLS) and role-based permissions to ensure data security. We follow GDPR and India’s Digital Personal Data Protection (DPDP) principles. However, users must: Keep login credentials confidential. Immediately report any suspected breach or unauthorized access. Wapizo is not responsible for user-side data leaks, device compromise, or external attacks. 9. User Responsibilities You agree: Not to upload harmful, defamatory, or illegal content. Not to send messages that violate Meta’s or WhatsApp’s terms. To ensure consent from recipients before sending promotional messages. To maintain valid WhatsApp Business API credentials. Violation may result in account suspension without refund. 10. Intellectual Property All content, software, logos, and trademarks on Wapizo are owned by or licensed to Wapizo. You may not copy, distribute, or modify platform assets without written consent. 11. Limitation of Liability Wapizo shall not be liable for: Any indirect, incidental, or consequential damages. Downtime or disruption caused by third-party APIs (WhatsApp, Meta, etc.). Data loss due to user error or external factors. Total liability shall not exceed the amount paid for the subscription in the previous month. 12. Termination We may suspend or terminate your account at any time, without prior notice, for breach of these Terms or misuse of the platform. Upon termination, all associated data may be deleted in accordance with our Data Retention Policy. 13. Changes to Terms Wapizo reserves the right to modify or update these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our platform after updates constitutes acceptance. 14. Governing Law These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kochi, Kerala. 15.
